Noumi Limited (ASX: NOU) today announced that its shareholders and optionholders have overwhelmingly approved the proposed schemes of arrangement. Noumi, a leading Australian Fast-Moving Consumer Goods (FMCG) company, specialises in creating quality, on-trend, responsibly produced dairy and plant-based beverages, nutritional products, and ingredients used across the health and fitness industries, with brands including MILKLAB, Australia’s Own, So Natural, Vital Strength, and PUREnFERRIN lactoferrin. The approvals pave the way for Arrovest Pty Ltd (Arrovest) to acquire all Scheme Shares and for all Scheme Options to be cancelled and extinguished, subject to outstanding conditions.
At the Share Scheme Meeting, the resolution received strong support, with 78.65% of Noumi Shareholders present and voting in favour. In terms of votes cast, 89.08% were in favour of the Share Scheme Resolution. Similarly, the Option Scheme Meeting saw 82.14% of Noumi Optionholders present and voting approve the Option Scheme Resolution, representing 85.75% of the total votes cast. These requisite majorities indicate significant investor endorsement for the proposed corporate actions.
The Schemes remain contingent on approval from the Supreme Court of New South Wales at the Second Court Hearing, scheduled for 9:15 am (Sydney time) on Tuesday, 10 November 2026. Should the Court grant its approval and all other conditions precedent be satisfied or waived, Noumi plans to lodge the Court orders with the Australian Securities and Investments Commission (ASIC) on Wednesday, 11 November 2026. This lodgement would render the Schemes legally effective and binding on Noumi Shareholders and Optionholders.
Following the expected effectiveness date, Noumi Shares and Options are anticipated to be suspended from trading on the ASX at the close of business on Wednesday, 11 November 2026. The full implementation of the Schemes is projected to occur on Friday, 27 November 2026, finalising the acquisition and option cancellation processes.
