TALI Digital Launches Share Purchase Plan Alongside $3.3M Capital Raise

TALI Digital Limited (ASX: TD1), a digital health and education technology company focused on developing and commercialising innovative solutions, has released a prospectus for a Share Purchase Plan (SPP). This SPP seeks to raise up to $500,000 from eligible shareholders, contributing to a broader capital raising initiative targeting a total of $3.3 million. The substantial funds are intended to finance the proposed acquisition of Datasphere Analytics Pty Ltd, progress the development of its existing products, cover general working capital, and offset the costs associated with the offers.

Under the terms of the SPP Offer, eligible shareholders with a registered address in Australia or New Zealand are invited to subscribe for new shares at a fixed issue price of $0.05 per share. Applications can range from a minimum of $2,500 to a maximum of $30,000. An additional incentive includes one free attaching option for every three shares subscribed for and issued. The SPP Offer is currently scheduled to close at 5:00pm (AEST) on 22 September 2026. Crucially, the issuance of shares and attaching options under both the SPP and the concurrent Placement Options Offer requires shareholder approval at an upcoming General Meeting.

The strategic rationale behind this capital infusion is the proposed acquisition of Datasphere Analytics, which holds an option to license memristive in-memory computing technology. TALI Digital envisions integrating this technology to evolve its platform into a secure, artificial intelligence-assisted data processing solution. The company has explicitly stated that an investment in its securities should be considered highly speculative, a factor potential investors are encouraged to review. Directors, including Dr David Brookes and Mr George Rolleston, have confirmed their intention to subscribe for the maximum amount under the SPP. 62 Capital Pty Ltd is acting as the lead manager for the Placement.
