Takeovers Panel consents to withdrawal of dispute concerning capital management proposal after Pengana Capital Group and PIA reach resolution.

Pengana International Equities Limited (ASX: PIA) has seen an application to the Takeovers Panel regarding its affairs officially withdrawn. Pengana Capital Group Limited (PCG) requested the withdrawal of its application, originally lodged on 31 August 2026. Pengana International Equities Limited (PIA) is an investment company focused on international equity markets, managing a portfolio of global stocks. The withdrawn application pertained to PIA’s proposed off-market equal-access buy-back of up to 100% of its shares, which is part of a broader capital management proposal that also includes a conditional 1-for-1 non-renounceable rights issue.

The decision to withdraw the application follows a settlement reached between PIA and PCG on 16 September 2026. This agreement not only resolved the Panel application but also concluded related Court proceedings. The Takeovers Panel had previously expressed concerns regarding the structure and course of PIA’s Buy-Back, particularly in the context of the potential Rights Issue, and had decided to conduct proceedings. However, with the dispute now settled between the parties, the Panel determined it was not necessary to pursue these issues, considering the absence of existing Panel policy on such structures and the scope of broader policy issues raised.

Despite consenting to the withdrawal, the Panel raised general concerns about provisions in settlement deeds that might restrict parties from making submissions in Panel proceedings. It noted that while it did not fully explore such clauses in this instance, agreements that obstruct or hinder the Panel’s consideration of matters could potentially necessitate the use of its powers to summon witnesses or consider cost orders. The Panel encourages parties to carefully assess the risk of such provisions impacting future regulatory oversight and notes that interested persons remain free to make fresh applications should new developments arise.
