Diversified engineering firm to integrate new product line and OEM capabilities, enhancing market reach and revenue streams.

Alfabs Australia Limited (ASX: AAL) has announced an agreement to acquire the pump business assets of J&J Vac Pty Ltd. Alfabs, a diversified Australian mining and engineering company, services the underground mining, infrastructure, and industrial sectors, providing equipment hire, maintenance, engineering fabrication, and related services across Australia’s east coast. The acquisition includes eight UVU pumps, the right to manufacture them as the original equipment manufacturer (OEM), and transferred third-party orders for an additional four units. Upfront consideration is $2.0 million, with a contingent payment of $80,000 per additional pump manufactured, capped at 25 units for a maximum $2.0 million. Funded from existing cash and debt facilities, settlement is anticipated during November 2026, pending customary conditions.

This strategic move introduces a new product line of hire-ready assets, poised to contribute immediate ongoing revenue and EBITDA. The J&J business supplies UVU and MGUVU pumps, used for managing liquid and semi-solid materials, primarily to the underground coal mining market in New South Wales. Alfabs intends to integrate this new business into its existing hire operations, leveraging established customer relationships, workshop capacity, and technical expertise without requiring additional overheads. OEM status further provides Alfabs with opportunities for revenue from spare parts, maintenance, and servicing, expanding its reach to existing underground mining customers across NSW and Queensland.

The acquisition aligns with Alfabs’ disciplined capital allocation framework, with expected returns projected to exceed investment hurdle rates. The company affirmed it will not materially impact its balance sheet or capital management priorities. The immediate transfer of orders for four additional UVU pumps validates market demand, with Alfabs set to build and sell these units with transitional support from J&J. Alfabs continues to progress its Phase II debt restructuring, a necessary step for its Board to consider reinstating the Company dividend, with further market updates expected.
