4DMedical Shares Volatile Amidst Governance Rift

Medical software firm sees price rollercoaster after AGM, highlighting investor and short-seller divisions.

Australian medical software company 4DMedical has experienced significant share price volatility following a divisive annual general meeting (AGM) last week. The firm, the best performer in the S&P/ASX 200 over the past year with shares increasing 18-fold to June 30, 2026, saw its market value surge to $4 billion before settling closer to $2 billion. 4DMedical is a medical software company. Its technology uses CT scans to produce lung maps, aiming to replace more expensive nuclear scans. Recent trading, including a 25 per cent drop and subsequent 16 per cent bounce, highlighted deep disagreements among its diverse shareholder base.

Tensions peaked during the AGM, where shareholders voted on controversial proposals for substantial bonuses for chief executive Andreas Fouras and chief financial officer Julian Sutton, totalling nearly $50 million. The payouts faced strong opposition from institutional investors and their proxy advisers, who deemed them excessive. Many index-tracking funds recalled loaned shares to exercise governance responsibilities prior to the vote. This temporarily limited the stock for short-selling. The resolutions were emphatically defeated, as institutional investors opposed the proposals.

Post-AGM, institutions returned shares to the borrow pool, enabling hedge funds to re-engage short-selling. This triggered a 25 per cent plummet in 4DMedical’s share price last Friday. 4DMedical responded to an ASX query, attributing the drop to increased short interest. While the stock subsequently bounced, this episode underscores a recurring dynamic in the Australian sharemarket: a battleground between enthusiastic retail investors, championing the company’s potential, and skeptical short-sellers. Short-sellers deem 4DMedical’s multi-billion dollar valuation excessive given modest annual sales, doubting full commercialisation and future reimbursement rates.
