Challenger Limited (ASX: CGF), Australia’s leading retirement income business, announced on October 26, 2026, that its Board has concluded that an indicative non-binding offer from TAL Daiichi Life Australia Pty Limited (TDA) is not at a level it could recommend to shareholders. Challenger, established in 1985, focuses on providing customers with financial security for a better retirement by helping Australians convert their accumulated savings into reliable and sustainable income. It also provides income solutions for institutional investors through its credit origination capabilities. The offer, initially communicated on October 19, 2026, proposed TDA acquiring the remaining ordinary shares in Challenger it does not already own, via a scheme of arrangement, at a price of $11.80 per share.
The Board of Challenger meticulously met and considered the proposal, taking into account the company’s inherent value and its future prospects. Despite acknowledging TDA as its largest shareholder and a valued commercial partner, the Board ultimately determined that the per-share price outlined in the indicative offer did not adequately reflect these factors, leading to its conclusion that the offer was insufficient for recommendation.
In light of this assessment, Challenger’s Board has indicated its commitment to engage further with TDA. The primary objective of these forthcoming discussions is to explore the possibility of formulating a revised proposal that the Board could confidently recommend to its shareholder base. It is important to note, however, that Challenger has clarified there is no certainty that these engagements will result in a binding offer or that any transaction will ultimately materialise. Shareholders are therefore advised that they do not need to take any action regarding this matter at the present time.
