Actinogen Medical Completes Options Underwriting, Securing $4.77 Million in Funding

ASX-listed biotechnology firm strengthens financial position, extending cash runway into late 2027 or early 2028.

Actinogen Medical Limited (ASX: ACW), a biotechnology company developing novel therapies for neurological and neuropsychiatric diseases associated with dysregulated brain cortisol, has announced the completion of its options underwriting. The company, which is currently focused on its lead compound Xanamem for Alzheimer’s Disease, advised on 23 September 2026, that it has issued 26,315,700 Shortfall Shares. These shares were issued under the Underwriting Agreement with Forrest Capital Pty Ltd, initially announced on 1 September 2026, and represent the shortfall from the exercise of 127,235,644 Underwritten Options.

The company confirmed that all Underwritten Options, which expired on 11 September 2026 and 15 September 2026, have now been issued as Shortfall Shares. This process, combined with the exercised options, has secured an additional $4,771,336.65 in funding for Actinogen Medical. The Shortfall Shares issued to Forrest and its nominees were completed in accordance with ASX Listing Rule 7.2 Exception 10. This means the issuance did not require shareholder approval and will not count towards the Company’s capacity under ASX Listing Rule 7.1.

Actinogen Medical highlighted that the successful completion of the options underwriting, following strong participation from option holders where substantially all options were converted prior to expiry, provides the final element of funding. This financial injection is expected to ensure the company maintains a cash runway extending until late calendar year 2027 or early calendar year 2028. The company previously provided further information regarding this process in its announcement dated 1 September 2026.
