Iron Bear Resources Reclaims Full Ownership as Vale Concludes Development Agreement

ASX-listed miner secures 100% control of its Iron Bear project, bolstered by a strong cash position and promising Pre-Feasibility Study results.

Iron Bear Resources Limited (ASX: IBR), a mineral exploration and development company focused on its Iron Bear project, has advised shareholders that Vale will not proceed to Phase 2 of their Development Agreement. The company has received a draft notice acknowledging the completion of Phase 1 and indicating Vale’s decision not to continue. The Iron Bear Board expects a final notice soon, which will terminate the agreement and unencumber the Iron Bear project, allowing IBR to retain 100% ownership.

While acknowledging a constructive relationship with Vale, the Iron Bear Board believes Vale’s decision is due to internal corporate developments beyond IBR’s control, rather than the project’s merits. Iron Bear emerges in a strong position, having successfully deployed US$18 million from Vale to de-risk the project and complete a compelling Pre-Feasibility Study (PFS) without shareholder dilution. The company also holds A$15.3 million in cash, negating the need for a near-term capital raise. This full ownership allows Iron Bear to pursue a broader range of development and funding opportunities, including off-take and new joint venture agreements.

Managing Director of Iron Bear commented on the valuable technical and financial contributions made by Vale, which significantly enhanced the PFS and pilot plant results for high-quality direct reduction pellets. Despite the end of this productive relationship, he stated that IBR’s retention of 100% ownership unlocks exciting opportunities for future funding from industrial partners, institutional investors, or off-takers, leveraging a much more advanced and de-risked project. The PFS confirmed Iron Bear as a globally significant iron ore asset with an unleveraged NPV of US$9.0 billion and an IRR of 15.2%.

Looking ahead, Iron Bear plans to deliver important value milestones in Q4 2026, including an updated PFS with improved financial outcomes and new operational scenarios. Other key objectives include securing ‘Project of National Significance’ status in Canada, formally starting the environmental permitting process, establishing a co-operation agreement with an indigenous group, and appointing a Tier 1 financial advisor to define a project financing package.
