Qube Holdings Limited (ASX: QUB) announced on 14 August 2026 the successful implementation of its scheme of arrangement. Under the scheme, Rubik Australia Pty Limited (the Bidder) has now acquired 100% of the shares in Qube. Qube is a diversified logistics and infrastructure company, providing a comprehensive range of services across ports, bulk materials, and general logistics. The company plays a critical role in Australia’s supply chain, managing freight, import, and export operations.
As part of the implementation, Qube shareholders, excluding UniSuper in relation to its specified shares, received the scheme consideration of $5.20 per Qube share. This amount was paid less the previously declared Interim Dividend of $0.0535 cash per Qube share, announced on 20 February 2026, and the Special Dividend of $0.3465 cash per Qube share, announced on 8 July 2026. The payment was processed for shares held on the Scheme Record Date of 7:00 pm (Sydney time) on Friday, 24 July 2026.
In a distinct arrangement, UniSuper received shares in Rubik Australia Holdings Pty Limited as consideration for its UniSuper Specified Shares. The finalisation of the scheme also marks the impending departure of Qube from the Australian Securities Exchange. Trading in Qube shares was suspended from the close of trading on Wednesday, 8 July 2026, and the company is scheduled to be removed from the official list of the ASX with effect from the close of trading on Monday, 17 August 2026. This announcement concludes the acquisition process initiated by Rubik Australia Pty Limited.
