Ingenia Communities Group (ASX:INA) announced on 15 October 2026 that it has received an updated non-binding indicative proposal from Warburg Pincus LLC. The private equity firm’s offer seeks to acquire 100% of Ingenia’s issued capital via a scheme of arrangement at $5.25 cash per stapled security. Ingenia Communities Group is a leading operator, owner, and developer of communities, providing quality affordable rental and holiday accommodation focused on Australia’s growing seniors’ market. This update follows Ingenia’s agreement on 5 October 2026 to grant Warburg Pincus initial non-exclusive due diligence access.
The revised indicative proposal now includes a reconfirmation of its terms after Warburg Pincus reviewed initial due diligence materials. Notably, Ingenia securityholders may retain the distribution for the half year ending 31 December 2026, up to $0.05 cash per stapled security, without a reduction in the offered price. Warburg Pincus has declared this updated price “best and final” in the absence of a superior proposal and is seeking exclusive due diligence access. A critical condition requires the Ingenia Board to confirm that the revised proposal would be more favourable to Ingenia securityholders than Ingenia’s proposed acquisition of Peet Limited, prior to commencing exclusive due diligence. Ingenia must provide this Board Confirmation and confirm exclusive due diligence access by Monday, 19 October 2026, subject to a process deed.
The Ingenia Board is currently assessing this updated proposal with the assistance of its financial and legal advisers. No view has yet been formed on the merits of the proposal or the acceptability of its conditions, and no recommendation is being made to securityholders. Ingenia stressed there is no certainty the proposal will lead to a formal binding offer or that any transaction will eventuate. The Board reiterated its confidence in Ingenia’s strategic direction and growth trajectory, affirming its focus on executing its strategic plan and delivering long-term value. Ingenia securityholders are advised that no action is required in relation to the Further Revised Indicative Proposal at this juncture.
