The decision follows the filing of a Registration Statement on Form S-1 (File No. 333-298612) with the U.S. Securities and Exchange Commission (SEC), which was intended to facilitate the proposed offering of securities. Amaero clarified that this registration statement has not yet been declared effective by the SEC. Consequently, as per regulatory requirements, no securities may be sold, nor may offers to buy such securities be accepted, prior to the time the registration statement receives effectiveness.
