Wagners Completes $30 Million Placement to Fuel Growth

Wagners Holding Company Limited (ASX:WGN), a diversified Australian construction materials and services provider and an innovative producer of New Generation Building Materials, has successfully completed a $30 million placement. The capital raising, before costs, involved the issue of 11,539,650 new fully paid ordinary shares to sophisticated and professional investors at a price of $2.60 per share. The placement shares will be issued under the company’s existing Listing Rule 7.1 capacity, with allotment and normal trading expected to commence on September 12, 2025.

The offer price represents a 2.3% discount to the last closing price of $2.66 on September 5, 2025, and a 5.4% premium to the 15-day volume-weighted average price (VWAP) up to the same date. Wagners intends to use the proceeds from the placement to pursue growth strategies within its Construction Materials and Composite Fibre Technologies businesses. Unified Capital Partners Pty Ltd and Morgans Corporate Limited acted as Joint Lead Managers for the placement.

Wagners’ Managing Director, Cameron Coleman, stated that the company’s recent FY25 results highlighted a positive outlook for the Construction Materials and Composite Fibre Technologies divisions, necessitating investment to meet growth expectations. The company plans to expand its South-East Queensland concrete plant network and increase manufacturing capacity for composite electrical distribution poles. This strategic capital allocation aims to deliver value to shareholders through targeted market investments.

The Board of Wagners Holding Company Limited has determined that the placement with institutional investors represents the most appropriate capital management approach to fund this growth phase. The company remains focused on a disciplined approach to capital allocation, ensuring that investments meet internal return on capital and payback period requirements.
